Terms of Service

These Terms of Service (the "Terms") govern your use of the Unify platform — the website at weunify.io, our mobile applications, and any related services (together, "Unify" or the "Service"). Unify is operated by Orqestra LLC, a New Mexico Limited Liability Company. By creating an account or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. What Unify is
Unify is a cannabis labor networkthat connects independent contractors with state-licensed cannabis operators in New Mexico. We don't employ contractors and we don't run cannabis facilities. We provide the platform that lets workers find shifts and operators staff them, along with payment routing, identity verification, reputation scoring, and dispute resolution tooling.
We're not a staffing agency, a professional employer organization (PEO), or a payroll provider. We're a two-sided network — see Section 4 for the relationship details that matter most.
2. Eligibility
To use Unify you must:
- Be at least 21 years old. This is a hard floor for everyone — contractors, company representatives, and even prospective Operations Managers. New Mexico cannabis regulation requires it and we will not waive it.
- Provide accurate information about yourself and (if signing up as a company) the business you represent.
- Not be barred from using the Service under prior account termination or applicable law.
Contractors must additionally complete a background check via our partner (currently Checkr) and upload current identity and food-handler documents before applying to shifts.
Companiesmust hold a current cannabis business license issued by the New Mexico Cannabis Control Division, a valid EIN, an active workers' compensation insurance policy, and provide owner government identification. We may refuse, suspend, or terminate any account that doesn't meet these requirements.
3. Your account
You're responsible for everything that happens under your account, including keeping your password secure, keeping your contact information current, and promptly reporting any unauthorized access to support@weunify.io. We may require two-factor authentication for accounts with financial or admin permissions. Don't share your account or let anyone else use it.
4. Independent contractor relationship — please read this carefully
Contractors who find shifts through Unify are independent contractors, not employees of Unify or of the operators who post the work. By using the Service as a contractor, you acknowledge that:
- You are self-employed for tax purposes. You are responsible for your own federal, state, and self-employment taxes. Unify reports payouts annually on IRS Form 1099-NEC where required by law.
- You decide which shifts to apply to, when to work, and whether to accept any specific assignment. Unify and the posting operator do not control how you perform the work, beyond the safety and quality expectations any well-run cannabis facility would impose on anyone on-site.
- You are not entitled to employee benefits — health insurance, paid time off, unemployment insurance, workers' compensation insurance from Unify, or any similar program — from Unify. The operator who posts a shift is required to carry workers' comp insurance that covers contractors injured on their site (see Section 2), but Unify does not provide that coverage itself.
- You bring your own tools and personal protective equipment unless an operator specifies they will provide them on a given shift.
Operators posting shifts on Unify acknowledge that they are engaging contractors directly (with Unify acting as the platform that connects the two sides), and that they remain responsible for site safety, on-site supervision, and compliance with cannabis labor regulations.
5. How shifts work
- Posting: approved operators post shifts with a rate, location, date, and special instructions. Posting suspended operators (see Section 9) cannot post.
- Applying:approved contractors can apply to any open shift in a supported state. Acceptance is at the operator's discretion. Unify does not guarantee any contractor will be approved for any specific shift.
- Check-in and check-out: contractors physically present themselves at the work site and check in via the app. We use GPS geofencing (typically a 200-foot radius) to confirm physical presence — see the Privacy Policy for what we collect and what we don't.
- Sign-off:operators have 24 hours after the contractor checks out to sign off on the work, rate the contractor, and approve payment. If they don't within that window, the sign-off escalates to Unify for resolution.
- Cancellation: both sides can cancel a shift before the start time, but cancellation policies (cancellation count, strikes, posting suspensions) are real and enforced — see Section 9.
6. Fees and payments
Unify charges operators for posted shifts and pays contractors the agreed contractor rate. The difference between what an operator pays and what a contractor receives is Unify's service fee (the " spread"), which covers platform operations, identity verification, payout routing, and dispute support. Each party sees only their side of the rate — operators see what they pay, contractors see what they receive. The spread that applies to a given shift is the spread published at the moment the shift was posted; it doesn't change retroactively if we update our pricing later.
Payouts run on a regular schedule (typically weekly) via our payment processor.
Unify Prois a separate subscription for contractors that adds early access to new shifts (Pro contractors see new jobs the moment they're posted while free contractors wait 60 minutes), a Pro Applicant Boost that floats your application to the top of every operator's applicant list with a Pro badge so operators see you first, a Pro badge visible on your profile and every application you send to signal serious investment in the network, and priority dispute review so that if a payment is disputed your case goes to the front of the admin queue for faster resolution. Pro is billed monthly or annually through Stripe, optionally with a 3-day free trial for first-time subscribers. You can cancel Pro any time from your account settings; cancellation takes effect at the end of the current billing cycle.
Other fees: some services we route through third parties are passed through at our cost (for example, the cost of a background check). We disclose these pass-through fees at the moment of purchase.
7. Reviews, ratings, and Unify Score
Unify uses ratings and a computed reputation score (the "Unify Score") to help operators select reliable contractors and to surface chronic abuse. Both sides can rate the other after a completed shift. Ratings must be honest and based on your actual experience on the shift. Don't use ratings to retaliate, harass, or coordinate with others to inflate or deflate a score. We may remove ratings that violate this rule and we may suspend accounts that repeatedly do.
8. Your conduct
Don't use Unify to:
- Break any law, including cannabis regulations, labor laws, tax laws, anti-discrimination laws, or controlled substance laws outside the regulated cannabis market.
- Misrepresent your identity, your credentials, your business's license status, or any document you upload.
- Harass, threaten, defraud, or harm other users.
- Probe, scan, or otherwise test the security of the Service, or attempt to bypass authentication, access controls, or rate limits, except under a written security-research agreement with us.
- Scrape, reverse-engineer, or build a competing product using data extracted from the Service.
- Use the Service to compete with us, including by soliciting our users to transact off-platform to avoid the spread (operators trying to hire a contractor they met on Unify directly, off-platform, falls under this).
9. Strikes, suspensions, and termination
Contractors: we use a three-strike system. No-shows, job abandonment, misconduct, excessive cancellations, and admin-issued strikes all count. Three active strikes automatically suspend the contractor account.
Operators: repeated cancellation of shifts that already have approved contractors leads to a posting suspension (currently 72 hours after the fifth such cancellation), which auto-lifts after the suspension window expires.
We may suspend or terminate any accountat any time for violations of these Terms, fraud, safety issues, threats to other users, license expiry or revocation, government action, or any other reason that we reasonably believe is necessary to protect the Service or its users. We'll give notice and a chance to fix the problem when we can, but we don't have to.
You can close your account at any time. See the account deletion page for instructions. Some financial records (1099s, audit logs) are retained as required by law even after closure — see the Privacy Policy.
10. Disputes between users
If a contractor and an operator disagree about a shift — pay, quality, time worked, no-show classification, conduct, or anything else — either side can file a dispute within 24 hours of the contractor's checkout. Unify will review the evidence and rule within 48 hours; the ruling may release, hold, or withhold the payout. Filing a dispute automatically holds any related payout. Frivolous or retaliatory disputes may result in strikes.
11. Disclaimers
We provide the Service "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express or implied, including (but not limited to) the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We don't warrant the quality, safety, or legality of any operator's site or of any contractor's work.
We are not a party to any individual shift between a contractor and an operator. We do not control, and are not responsible for, the on-site working conditions, the specific tasks assigned, or the conduct of either party at a job site.
12. Limitation of liability
To the maximum extent permitted by law, Orqestra LLC, its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, lost opportunities, or substitute services — arising out of or related to your use of the Service, even if we've been advised that those damages might occur.
Our total cumulative liability to you for any claim arising from or related to the Service, regardless of theory (contract, tort, statute, or otherwise), will not exceed the greater of (a) the total amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred United States dollars ($100).
Some jurisdictions don't allow these limitations. To the extent they don't, the limitations above apply to the maximum extent the law permits.
13. Indemnification
You agree to defend, indemnify, and hold harmless Orqestra LLC (and its officers, employees, and affiliates) from any third-party claim, loss, damage, or expense (including reasonable attorneys' fees) arising from (a) your violation of these Terms, (b) your violation of any law or the rights of any third party (including any operator or contractor on the Service), or (c) your conduct in connection with any shift posted or performed through the Service.
14. Governing law and dispute resolution
These Terms are governed by the laws of the State of New Mexico, without regard to its conflict-of-laws principles. Any disputes between you and Orqestra LLC that aren't resolved informally will be brought exclusively in the state or federal courts located in Bernalillo County, New Mexico, and you consent to the jurisdiction of those courts.
Before filing a lawsuit, you agree to first contact us at support@weunify.io and give us 30 days to address the issue. Most disputes can be resolved that way.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we'll change the "Effective" date at the top. For material changes — anything that meaningfully affects your rights, fees, or how you use the Service — we'll notify you by email and in-app at least 14 days before the change takes effect. Continued use of the Service after the effective date means you accept the updated Terms. If you don't agree, stop using the Service before the effective date.
16. Miscellaneous
If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign or transfer these Terms without our written consent; we may assign them to a successor or affiliate. These Terms, together with the Privacy Policy, are the entire agreement between you and Orqestra LLC about the Service.
